Liang Yi Food – Terms and Conditions

1. GENERAL

1.1 Definitions
In these Terms and Conditions, the following expressions shall have the following meanings:

(a) “User(s)” shall mean user(s) who browse or make orders through the website.
(b) “Intellectual Property” shall mean all intellectual property rights of whatsoever nature, including (without limitation) patents, designs, present and future trademark or copyright, whether registered or not registered by any means, and the right to file an application for registration thereof.
(c) “Product/Products” shall mean any or all the products on online sale in Liang Yi Food.
(d) “Liang Yi Food” shall mean a registered business in the name LIANG YI FOOD INDUSTRY PTE LTD with registration number 200709685N.
(e) “Liang Yi Food website” shall mean this Internet site owned by Liang Yi Food Industry and the medium by which Products are offered for online sale by Liang Yi Food to the Customer.

1.2 Acceptance of Terms
All the Products sold online by Liang Yi Food through the website are subject to these Terms and Conditions. When users submit an order for processing through Liang Yi Food, they confirm and affirm that they have read, understood, and agreed to the Terms and Conditions in the form in which they appear at the time when their orders are submitted for processing.

1.3 User Information
While making orders, users agree to complete the order process according to Liang Yi Food’s requirements as stated on this website. Customers shall provide Liang Yi Food with complete and updated information, which shall include (but shall not be limited to) the users’ legal name, address, telephone, and e-mail addresses.

1.4 Liability for Orders
Users will be liable for every order made and agree to indemnify Liang Yi Food for all claims, damages whatsoever made by any third party arising from the actions of a person placing orders for the Products using the Users’ details. For every order, the Customer shall receive order confirmation via email. Such order confirmation does not guarantee stock availability and price variation.

1.5 Order Fulfillment
Liang Yi Food shall make every effort to fulfill orders placed by Customers through the website but can at any time refuse to fulfill an order due to any reason whatsoever. Liang Yi Food is not liable if the website is unable to supply an order because of any unforeseen changes in the Products list or unavailability of the Products.

1.6 Security and Unauthorized Access
Liang Yi Food shall use its best endeavors to prevent any unauthorized entry to the Liang Yi Food website. However, Liang Yi Food shall not be liable for any damages or losses whatsoever if any third party gains unauthorized access to the Liang Yi Food site.

2. PRODUCT PRICE

2.1 Pricing Accuracy
Liang Yi Food shall make every effort to ensure that the prices, details, and sizes of Products published on the website are accurate. However, Liang Yi Food reserves the right to vary the price and other details of the Products without notice.

2.2 Product Size/Weight Discrepancies
Not all Products’ sizes/weights will correspond exactly to the description offered on the website. Liang Yi Food reserves the right to provide the nearest size/weight of the Product at the nearest price.

2.3 Final Bill Adjustments
Discrepancies between the on-line bill/order price and the final bill may be due to out-of-stock products, substitutions, special offers, daily price changes, and weighed items. Liang Yi Food reserves the right to adjust the final bill after the on-line bill/order price is presented or conveyed to the Customer. Such adjustments shall be marked and brought to the notice of the Customer when the bill is presented at the time of delivery.

2.4 Variation Requests
If the Customer requests a variation to the order which Liang Yi Food accepts, then the price payable for the order will be adjusted accordingly to reflect the variation and shall be recorded. The difference will be projected in the bill presented to the Customer at the time of delivery.

2.5 Sales Limitation
Liang Yi Food reserves the right to limit sales, including the right to prohibit sales to re-sellers.

3. PAYMENT

3.1 Payment Methods
Payment for Products ordered through Liang Yi Food can be made via Cash on delivery; OR Payment for Products ordered can be paid in full via Credit Card – Visa and Mastercard.

3.2 Changes to Payment Methods
Liang Yi Food may, at any given time, change the method of payment made for orders. Such changes shall be notified to the Customers via e-mail, mail shots, or by placing a notice to this effect on the Liang Yi Food site.

4. DELIVERY

4.1 Delivery Arrangements
Liang Yi Food shall use reasonable endeavors to deliver Products of acceptable quality to the delivery address at the arranged time given by the Customer. However, Liang Yi Food shall not be liable for any delays in its delivery services, especially if the delay has been due to causes beyond the control of Liang Yi Food.

4.2 Delivery Areas
Currently, Liang Yi Food Supplier only provides delivery services in Singapore

4.3 International Orders
Customers outside of Singapore are welcome to make orders. Arrangements will be made to ship to the desired destination. Contact Liang Yi Food via email for inquiries: 6262 1785.

4.4 Delivery Timings
Delivery timings are 9am to 4pm from Monday to Saturday. There is no provision for Customers to choose the timings. Please ensure someone is available to receive the delivery. Deliveries are not done on Sundays.

4.5 Order Processing
All orders will be processed at 4pm on the date. Orders after this time will be processed on the next day (subject to delivery slots and any applicable special conditions).

4.6 Minimum Purchase and Delivery Fees

Minimum purchase per order through Liang Yi Food website must amount to 50SGD. Usual delivery fee is dependable per one local address.

4.7 Changes to Delivery Address
The Customer shall notify any changes in the delivery address in advance to Liang Yi Food.

4.8 Payment Upon Delivery
Payment for the order is to be made by cash on delivery. Customers shall ensure that a person of reasonable age who is authorized to receive the products and pay for the order is present at the arranged time of delivery at the specified address. If no such person is present, Liang Yi Food shall attempt to make the delivery at another time but reserves the right to charge the Customer an additional re-delivery fee.

4.9 Right to Withhold Delivery
Liang Yi Food reserves the right to withhold delivery of the Products to Customers if there are any doubts about the Customer’s creditworthiness or if the Customer does not effect payment upon delivery.

5. VARIATION / CANCELLATION OF ORDER

5.1 Order Variation or Cancellation
Customers may vary or cancel the order up to the point in time that Liang Yi Food has commenced processing the order and the Customer will not incur any cost in doing so.

5.2 Product Substitution
Subject to the Customer’s consent, Liang Yi Food may substitute a Product for another similar Product if the initial Product ordered by the Customer is unavailable.

5.3 No Substitution Without Consent
If there is no prior consent from the customer for a substitution, no substitution shall be made.

6. PROPERTY RISK

6.1 Risk Transfer
All risk in the Products shall pass to the Customer upon delivery to the Customer’s delivery address. Liang Yi Food shall retain the Products until such time that payment for the Products has been effected.

7. RETURNS OF PRODUCTS / REFUNDS

7.1 Product Descriptions
Not all pictures of Products on this site will correspond exactly to Product descriptions. In such cases, the written description of the Product is more accurate. The Customer shall not be entitled to return a Product simply because it does not correspond exactly to its online product pictures.

7.2 Incorrect Orders
Liang Yi Food shall use its best efforts to ensure that orders are correctly fulfilled and shall deal with any discrepancies in the following manner, provided they are reported either by e-mail, phone, or fax by the next working day of delivery of the Products:

(a) Liang Yi Food shall either refund the value of a Product or replace the Product to the Customer in the following cases:
- Product has been delivered in a damaged condition,
- Product has expired,
- Product which was ordered and invoiced is not included in the delivery, or
- A wrong Product is delivered.
(b) If any Product which was not included in the Customer’s order is delivered by error, Liang Yi Food reserves the right to collect the wrong Product.
(c) If the Customer has been charged for a Product which has not been delivered, Liang Yi Food shall refund the Customer the value of that Product as originally charged.
(d) If a Customer is charged more than the value of a Product, Liang Yi Food shall refund the Customer the difference.

7.3 Refund Process
Refunds shall be made by way of cheque payment which shall be mailed by Liang Yi Food to the Customer or funds transfer or in the form of cash.

7.4 Product Replacements
All replacements of Products shall be effected in the shortest time possible from the time the Customer makes the request for replacement.

8. WARRANTIES

8.1 Exclusion of Warranties
To the extent permitted by law, all warranties, descriptions, representations, or advice given as to the fitness or suitability for any purpose, tolerance to any conditions, similarity to sample, merchantability, or otherwise of the Products supplied, are expressly excluded.

8.2 Unauthorized Warranties
No agent or representative of Liang Yi Food is authorized to make any warranties, representations, or statements regarding the Products and Liang Yi Food shall not in any way be bound by any such unauthorized warranties, representations, or statements.

9. LIABILITY

9.1 Limitation of Liability
The liability of Liang Yi Food, whether in contract, tort, or otherwise for any loss, damage, or injury arising directly or indirectly from any defect in or non-compliance of the Products or any other breach of Liang Yi Food’s obligations hereunder shall not in any event exceed an amount equivalent to the price of the Products.

9.2 No Consequential Damages
Liang Yi Food shall not be liable for any consequential, indirect, or special damage or loss of any kind whatsoever nor shall Liang Yi Food be liable for any damage or loss caused by the Customer’s servants, agents, buyers, or other persons whatsoever.

9.3 Customer Responsibility
The Customer shall ensure that the Products are not used for any purpose for which they are not suitable and shall be responsible for using all necessary skill and care in handling and using the Products. The Customer expressly acknowledges and agrees that Liang Yi Food assumes no obligation or liability for any advice or information given with the Products and Liang Yi Food shall not be responsible for any inaccuracy or misstatement of any such information. The Products shall be accepted by the Customer entirely at his or her own risk.

9.4 Product Ingredient Changes
Liang Yi Food shall not be liable for any changes manufacturers make to the ingredients list of their product, such that it changes the diet of the product, namely, vegetarian, lacto-vegetarian, ovo-vegetarian, or vegan. Liang Yi Food is providing a free service and will classify the product to Vegan, Lacto-Vegetarian, Vegetarian, or Ovo-Vegetarian. We maintain no responsibility should the manufacturer decide to change the ingredients, or that classification is not accurate for whatsoever reason.

10. INTELLECTUAL PROPERTY

10.1 Ownership
All rights, titles, and interests in all Intellectual Property in all concepts, systems, written, graphic, and other material relating to Liang Yi Food shall at all times remain the property of Liang Yi Food.

10.2 Trademarks
Liang Yi Food and other parties own the trademarks, logos, and service marks displayed on this website and/or in connection with the Products. Customers and online visitors are prohibited from using the same without the written permission of Liang Yi Food or such other parties.

11. FORCE MAJEURE

11.1 Force Majeure
If the performance by Liang Yi Food of its obligations is prevented by reason of “force majeure” (which shall include prevention occasioned by fire, casualty, accident, act of God, natural disaster, any law, order, proclamation, regulation, demand, or requirement of the government of Singapore or of any of its government agencies, strikes, labor disputes, shortage of labor or lack of skilled labor, shortage or unavailability of products or raw materials, delay in transit or other causes whatsoever (whether similar to the foregoing or not) beyond the reasonable control of Liang Yi Food), Liang Yi Food shall be excused from such performance to the extent of such prevention.

12. VARIATION OF TERMS AND CONDITIONS

12.1 Amendment of Terms
Liang Yi Food reserves the right to amend these Terms and Conditions in its sole discretion. Liang Yi Food may, but does not undertake, to notify Customers of such changes. It is the Customers’ responsibility to review the Terms and Conditions prior to submitting any order to Liang Yi Food. Liang Yi Food has no responsibility to notify Customers of any changes in the Terms and Conditions prior to the coming into effect of such changes or otherwise.

13. APPLICABLE LAW

13.1 Governing Law
These Terms and Conditions shall be governed by the laws of Singapore and the Customer and Liang Yi Food agree to submit to the jurisdiction of the Singapore courts.

14. LINKS

14.1 External Links
The Liang Yi Food website may contain links to other websites and online pages. By activating a link, such as for example by clicking on the banner of an advertiser, the Customer leaves the Liang Yi Food site, and Liang Yi Food does not exercise control over any personal data or any other information the Customer gives to any other entity after leaving the site and access to such site or page is at the Customer’s own risk, for which Liang Yi Food disclaims all responsibility and liability.

15. CONTENT

15.1 Content Accuracy
All reasonable efforts are made to ensure that the information provided on this site is correct and up-to-date. However, Liang Yi Food disclaims all implied and/or express warranties and makes no representation as to the accuracy or completeness of any information on the site. Liang Yi Food takes no responsibility and assumes no liability for the content of the site or for anything posted on or linked to it, including without limitation any mistake, error, omission, infringement, defamation, falsehood, or other material or omission that might offend or otherwise give rise to any claim or complaint.

16. LIMITATION OF LIABILITY

16.1 Website Use
By accessing and using this Liang Yi Food site, the Customer acknowledges and accepts that the use of the website is at the Customer’s own risk. Liang Yi Food shall not be liable for any direct, indirect, incidental, consequential, or punitive damage or for damages for lost profits or for loss of revenue arising out of any use of, access to, or inability to use the site. 19.1 Risk Upon Shipment
All items purchased from Liang Yi Food are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
